Gifts of Nature, Inc., a California corporation (“GON”), has created this Privacy Policy (“Privacy Policy”) to disclose our information gathering and dissemination practices for this website (“Site”). References in this Privacy Policy to “we,” “us” or “our” mean GON (and its successors and assigns) and references to “you” and “your” mean the user and visitor of our Site.
The Site acts as a venue to allow retail businesses who register with GON to submit orders for products produced by third-party suppliers that GON features on the Site (each, a “Supplier”), which GON collects and provides to the Suppliers (the “Services”). You agree that you will (a) use this Site solely for business purposes to browse, solicit information, and submit orders for products for resale, and (b) not use this Site for personal or household purposes in any way. You agree that by accessing the Site, you consent to the collection, transfer, manipulation, storage, disclosure and other uses of your information as described by this Privacy Policy and to be governed by our Terms and Conditions of Use. What Data We Collect and Why We Collect It
Business Information
You may, while using our Site, provide us with information that allows us to identify your business, including without limitation the name of your company, the company’s state of incorporation, business address, EIN, and date of incorporation, and the first and last name, email address, and phone number of the company contact (“identifying information”). We may also collect certain information from users who are submitting orders to Suppliers through our Site. Such information may include without limitation: shipping address, billing address, the last four digits of the company’s credit card, an email address and phone number of a company contact (collectively, the “purchase information,” and together with identifying information, “business information”). Except as otherwise provided in this Privacy Policy, we may store and retain all business information provided by you in our data servers. We do not knowingly collect any personally identifiable information from individual consumers or children under the age of 18. If we obtain actual knowledge we have collected such personally identifiable information, that information will be immediately destroyed and/or deleted from our databases.

We also collect information automatically using electronic tools. We may log the name of your Internet service provider, IP address, or use “cookie” technology to store your company’s preferences, record session information, display personalized content and advertising on your company’s electronic device, and to maintain session and preference information to improve the use of the Site. Embedded Content from Other Websites
During your use of our Site you may link to, or view as part of a frame on our page, certain content that is created or hosted by a third party. Links on this Site may include embedded content (e.g. videos, images, articles, etc.). Who We Share Your Data With
GON uses analytic programs for remarketing.
GON uses remarketing services to advertise on third party websites to previous visitors to our Site. Remarketing involves tracking devices that have visited our Site to display ads for our services on other websites and/or search results pages. It could mean we advertise to previous visitors who have not completed a task on our Site, for example using the contact form to make an inquiry. Third-party vendors use cookies to serve ads based on someone’s past visits.

GON shares your business information with Suppliers.
In connection with our Services, GON will facilitate the sharing of information between you and the Suppliers. Such Suppliers will process your business information, including without limitation your shipping and payment information, under their own privacy policies. We may also share your business information with Suppliers to offer you certain products or promotions. Suppliers, not GON, are responsible for protecting business information under their control. By submitting an inquiry or order for products through our Site, you are directing us to share your information in this way. We make no guarantees or warranties regarding the privacy procedures of any Suppliers.
GON may share your business information for legal and safety purposes.
We may disclose your business information where we are legally required to do so to comply with applicable law, governmental requests, a judicial proceeding, court order, or legal process, such as in response to a court order or a subpoena (including in response to public authorities to meet national security or law enforcement requirements). We may also disclose your business information where we believe it is necessary to investigate, prevent, or take action regarding potential violations of our policies, suspected fraud, situations involving potential threats to the safety of any person and illegal activities, or as evidence in litigation in which we are involved.

How Long We Retain Your Data
We will store the business information that you provide when establishing your company’s account. GON will retain your business information only for as long as is necessary for the purposes set out in this Privacy Policy, for as long as your account is active (i.e., for the lifetime of your GON user account), as described in this Privacy Policy, or as needed to provide the Services to you. All users can see, edit, or delete their business information at any time. Site administrators can also see and edit that information. If you no longer want GON to use your information to provide the Services to you, you may close your account. GON will retain and use your business information to the extent necessary to comply with our legal obligations, resolve disputes, enforce our agreements, and as otherwise described in this Privacy Policy.

By submitting company contact information, you represent, warrant and agree that you are giving your express consent for us to contact your company, and you agree that we may communicate with the designated company contact via email, newsletters, telephone solicitations, and courtesy communications. After you submit a request to be contacted, you may expect to receive a confirmation email or telephone call from us. Such consent remains fully intact until you rescind such consent in writing as further described below.

Please allow approximately fourteen (14) business days to process such request. Your election to opt-out is only effective regarding future delivery of communications sent directly from us.

Except as provided for in this Privacy Policy, GON does not track its customers over time and across third party websites to provide targeted advertising and therefore does not respond to Do Not Track (“DNT”) signals. Terms and Conditions of Use
Gifts of Nature, Inc., a California corporation (“GON,” “we,” “us” or “our”) owns and operates the website www.giftsofnaturethestore.com (“Site”). These Terms of and Conditions of Use (“Terms”) are entered into between GON and you, the Customer (as defined below), and govern your use of the Site. References in these Terms to “you” mean the Customer.
GON’s Service. The Site acts as a venue to allow retail businesses who register with GON (each, a “Customer”) to submit orders (each, an “Order”) for products produced by third-party suppliers that GON features on the Site (each, a “Supplier”). GON collects Orders submitted by Customers and provides the Orders to Suppliers. GON does not accept Orders or sell products directly to Customers. GON is not involved in the transaction between any Customer and any Supplier even though we, with each Customer’s permission, collect certain information about a Customer (“Information”) and provide such Information to one or more Suppliers. Suppliers are the sellers of products and are solely responsible to you for the care, quality, and delivery of the products. GON does not verify the quality or legality of the products offered by any Supplier for sale, the truth or accuracy of the representations regarding such products, and/or the ability of Suppliers to offer or sell such products, which is solely the responsibility of each Customer. We are not responsible in any way for the conduct of any Customer or Supplier. We do not endorse or recommend any Suppliers or products. We do not provide insurance, tax, legal or any other financial advice. We do not guarantee that any of the Suppliers to whom we forward a Customer’s Order will contact such Customer, accept the Order and/or agree to provide the Customer with the desired products.
You understand and acknowledge that (i) GON does not make decisions in connection with Orders; (ii) acceptance of a particular Order is made by individual Suppliers’ (iii) GON does not endorse, warrant, or guarantee the products of any Supplier; (iv) GON is not a party to any agreement that you may make with a Supplier, and that the Supplier is solely responsible for its products; and (v) GON is not acting as your agent and is not recommending any particular product or Supplier to you. GON does not charge you a fee to use the Site. Any compensation GON may receive is paid by the Supplier for the services rendered by GON to that particular Supplier. You agree to provide accurate and complete information to the Supplier. You agree that GON will not be liable for any damages or costs of any type which arise out of or in connection with your purchase or use of a Supplier’s products.
Registration. In order to create an account with GON and submit Orders you must be an officer, director, partner or other authorized representative or employee of a Customer with full authority to enter into these Terms. Each Customer is entitled to create and maintain one (1) account with GON (each, an “Account”). You are responsible for updating and correcting information you have submitted to create or maintain your Account.
Identity Verification; Account and Password. Customer verification on the Internet is difficult and we cannot and do not confirm each user’s purported identity. You will choose your own username (“Account ID”) and confidential password. You will be exclusively responsible for the supervision, management, and control of your Account ID and password for the Site and you will ensure that you properly exit the Site at the end of each session. You agree to (i) keep your password and Account ID secure and strictly confidential, providing it only to authorized users of your Account, (ii) instruct each person to whom you give your Account ID and password that he or she is not to disclose it to any unauthorized person, (iii) notify us immediately and select a new Account ID and password if you believe your password may have become known to an unauthorized person, and (iv) notify us immediately if you are contacted by anyone requesting your Account ID and password. We will assume that anyone using the Site or transacting through your Account is you. When you give someone your Account ID and password, you are authorizing that person to access and use your Account, and you are responsible for any and all actions that person performs while using your Account (including Orders that are submitted), even those actions that are fraudulent or that you did not intend or want performed. You are solely responsible for all uses of your Account, whether or not authorized by you.
You acknowledge that GON and its officers, directors, employees, contractors, representatives, agents and affiliates will have no liability to you for any unauthorized transaction made on your account. Further, we may suspend or cancel your Account or your access to the Site at any time even without receiving notice from you if we suspect that your Account and/or password is being used in an unauthorized or fraudulent manner.
Orders. You understand and agree that if you submit an Order, GON will share your contact information (such as full business name, address, telephone number, and/or federal identification number) with Suppliers to process and fulfill your Order.
Contact. By (i) creating an Account and/or (ii) submitting your Order, you are consenting to be contacted by us (including our sales representatives) and one or more Suppliers by telephone, email, mail, or other methods of electronic communication based on the information you have provided to us, even if you have opted into the National Do Not Call List administered by the Federal Trade Commission or any state equivalent Do Not Call List. You understand that the Suppliers may maintain the information you submitted to GON whether you elect to purchase their products or not. In the event you no longer want to receive communications from any Supplier, you agree to notify the Supplier directly.
Confidential Information. The data forms provided to you via the Site are proprietary to GON and thus provided to you in confidence and for your business use only.
Term and Termination. These Terms will remain in force and effect as long as you have an Account. These Terms are automatically renewed each time you access the Site and/or log-in to your Account and/or submit an Order. These Terms may be terminated by (i) either party, with or without cause, at any time upon ten (10) days prior written notice; or (ii) GON, effective immediately in the event of a breach by you of any of the provisions set forth in these Terms, all as determined by GON in its sole and absolute discretion. Termination will be without prejudice to any other right or remedy to which we may be entitled under these Terms or at law. You hereby acknowledge that if we, in our sole discretion, determine you to be in breach of these Terms, or upon any other termination of these Terms, we may restrict, suspend, or terminate your access to all or any part of the Site, with or without notice.
License. We grant each Customer a limited, revocable, non-exclusive license to access the Site in order to view the Site, create an Account, submit Orders, or make legitimate inquiries to us regarding the Suppliers, all in accordance with these Terms. Any other use of the Site is expressly prohibited. This limited license does not include any right of collection, aggregation, copying, duplication, display or derivative use of the Site nor any right of use of data mining, robots, spiders or similar data gathering and extraction tools without our prior written permission; provided, however, that a limited exception from the foregoing exclusion is provided to general purpose internet search engines and non-commercial public archives that use tools to gather information for the sole purpose of displaying hyperlinks to the Site.
Use of the Site. You represent and warrant that: (i) you are at least eighteen (18) years of age; (ii) you are an officer, director, partner or other authorized representative or employee of a Customer with the authority to enter into these Terms on behalf of the Customer; (iii) all information you have submitted to GON, online or otherwise, is accurate and complete, and that you have not knowingly submitted false information on or through the Site; and (iv) your use of the Site is subject to all applicable federal, state, and local laws and regulations.
Prohibited Conduct. You agree that you will not (i) submit, transmit or facilitate the distribution of information or content that is harmful, abusive, racially or ethnically offensive, vulgar, sexually explicit, defamatory, infringing, invasive of personal privacy or publicity rights, or in a reasonable person’s view, objectionable; (ii) use the Site for any unauthorized use including but not limited to chain letters, junk mail, “spamming,” telephone solicitations in violation of any state or federal Do-Not-Call registry, or as a basis for any use or distribution lists to any person who has not given specific permission to be included in such a process; (iii) submit, transmit, promote or distribute information or content that is illegal; (iv) attempt to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Site; (v) upload invalid data, viruses, worms, or other software agents through the Site; (vi) use any robot, spider, scraper or other system to access the Site for any purpose without our express written permission; (vii) impersonate another person or otherwise misrepresent your affiliation with a person or entity, conduct fraud, hide or attempt to hide your identity; (viii) submit, upload, post, email, transmit or otherwise make available any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; (ix) interfere with the proper working of the Site; or, (x) bypass the measures we may use to prevent or restrict access to the Site. GON reserves the right to terminate a Customer’s Account immediately and without notice, if it becomes aware and determines, in its sole discretion, that a Customer is violating any of the foregoing guidelines.
Accuracy of Information. We make no, and disclaim all, representations and warranties as to the accuracy, correctness, reliability or otherwise with respect to any information on the Site, and assume no liability or responsibility for any omissions or errors (including, without limitation, typographical errors and technical errors) in the information contained on the Site. We do not endorse the services or products of advertisers or sponsors. We do not independently verify that any Suppliers are properly licensed or licensed at all. You should conduct your own, independent verification of all Suppliers’ qualifications and experience and all products and services they offer. The Site may contain links to third-party sites that may use cookies, collect data and solicit information. We do not endorse these third-party sites or such third-party sites’ products or services and we are not affiliated with the operators of such sites.
Privacy. You acknowledge and agree that you have no expectation of privacy regarding any content you submit, transmit, or post on to or through the Site. Since we cannot guarantee security of information on the Site, all use thereof is at your own risk and without recourse against us. Your Account may include personally identifiable items, including last names, email addresses, telephone numbers, and street addresses. Any and all information that we obtain from you, or from transactions processed through the Site, including names, addresses, telephone numbers, email addresses and any other information concerning use, transactions, and traffic through the Site may be collected and used by us as provided in our Privacy Policy You confirm that you have read and agree to the terms of our Privacy Policy, the terms of which are incorporated herein. The posting of information or materials on the Site by us does not constitute a waiver of any rights in any Intellectual Property or such information and materials. You will not challenge, contest or otherwise impair GON’s ownership of the Site and the content therein or the validity or enforceability of GON’s rights in the Intellectual Property. We reserve the right in our sole discretion to edit or delete any information or other content appearing on the Site at any time without notice. Nothing contained in these Terms will be construed by implication, estoppel or otherwise as granting to the Customer an ownership interest in the Intellectual Property or any copyright, trademark, patent or other intellectual property right of GON or any third party. None of the material on our Site may be downloaded, distributed, reproduced, republished, posted, transmitted or copied in any form or by any means, without the prior written permission of GON, which permission may be withheld in our sole and absolute discretion.
Relationship of the Parties. The relationship between GON and Customer is that of independent contractors, and no agency, partnership, joint venture, employee-employer or relationship is intended or created by these Terms or your use of the Site. Neither party will have authority to contract for or bind the other in any manner whatsoever.
International Customers. If you use the Site from outside of the United States, your connection will be through and to servers located in the United States, your Orders placed through the Site will be fully processed in the United States and all information you provide will be processed and maintained in our web servers and internal systems located within the United States. By using the Site, you authorize the export of personal information to the United States and its storage and use as specified above when you provide such information to us.
Disclaimer. YOU AGREE THAT USE OF THE SITE IS AT YOUR OWN RISK. THE SITE AND ALL CONTENT, MATERIALS AND PRODUCTS CONTAINED IN THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. GON IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY INFORMATION POSTED BY ANY THIRD PARTY ON THE SITE, INCLUDING BUT NOT LIMITED TO ANY LINKED SITES OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES.
Limitation of Liability. IN NO EVENT WILL GON, ITS SUBSIDIARIES, AFFILIATES, OR ANY OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, LEGAL REPRESENTATIVES, OR AGENTS (COLLECTIVELY, THE “GON PARTIES”) BE RESPONSIBLE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, WHETHER FORESEEABLE OR NOT, THAT ARE IN ANY WAY RELATED TO THESE TERMS, ANY PRODUCTS AVAILABLE THROUGH THE SITE, ANY ORDERS SUBMITTED THROUGH THE SITE, ANY VIRUSES AFFECTING THIS SITE, THE USE OR INABILITY TO USE THIS SITE, THE RESULTS GENERATED FROM THE USE OF THIS SITE, LOSS OF GOODWILL OR PROFITS, LOST BUSINESS, HOWEVER CHARACTERIZED, AND/OR FROM ANY OTHER CAUSE WHATSOEVER. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, GON’S AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO AN AMOUNT EQUAL TO THE TOTAL FEE RECEIVED BY GON FROM A SUPPLIER ON ACCOUNT OF PRODUCTS SUCH SUPPLIER SOLD TO YOU.
Indemnity. You will indemnify, defend and hold the GON Parties harmless from loss, liability, costs, damages or expenses from any and all claims, actions and suits, whether groundless or otherwise, and from and against any and all claims, liabilities, judgments, losses, damages, costs, charges, attorney’s fees, and other expenses of every nature and character by reason of (a) your use of the Site; (b) your breach of these Terms and/or any breach of your representations and warranties set forth in these Terms; (c) any acts or omissions by you or on your behalf with respect to any Orders submitted through the Site by you; and/or (d) your violation of applicable law.
Amendment. We may at our sole and absolute discretion change, add, modify, or delete portions of these Terms at any time without notice by posting an amended version of these Terms on the Site. It is your sole responsibility to regularly review these Terms for changes each time you use of the Site, and in any event your continued use of the Site following the posting of changes to these Terms and the Privacy Policy set forth elsewhere on the Site, the terms of which are incorporated by this reference, constitutes your acceptance of any changes.
Miscellaneous. These Terms will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. These Terms and the Privacy Policy supersede all prior discussions and communications between GON and Customer and constitute the parties’ exclusive understanding with respect to the subject matter hereof. Our failure to enforce any provision of these Terms will not be deemed a waiver of such provision nor the right to enforce such provision. If any of these Terms’ provisions are held by a court of law to be illegal, invalid or unenforceable, the legality, validity, and enforceability of the remaining provisions of these Terms will not be affected or impaired thereby. The parties will replace any invalid and/or unenforceable provision with a valid and enforceable provision that most closely meets the aims and objectives of the invalid and/or unenforceable provision. The rule of construction that any ambiguities are to be resolved against the drafting party will not be employed in the interpretation of these Terms.
Dispute Resolution. Any dispute, controversy or claim arising out of or relating to these Terms or the breach or termination hereof will be settled by binding arbitration conducted by JAMS (“JAMS”) in accordance with JAMS Comprehensive Arbitration Rules and Procedures (“Rules”). The arbitration will be heard by one arbitrator to be selected in accordance with the Rules, in San Diego County, California. Judgment upon any award rendered may be entered in any court having jurisdiction thereof. All parties waive the right, if any, to obtain any award for exemplary or punitive damages or any other amount for the purpose or imposing a penalty from the other in any arbitration or judicial proceeding or other adjudication arising out of or with respect to these Terms, or any breach hereof, including any claim that these Terms, or any part hereof, is invalid, illegal or otherwise voidable or void. In addition to all other relief, the arbitrator will have the power to award reasonable attorneys’ fees to the prevailing party. Notwithstanding anything to the contrary, if GON desires to seek injunctive or other equitable relief that does not involve the payment of money, then those claims will be brought in a state or federal court located in San Diego County, California, and you hereby irrevocably and unconditionally consent to personal jurisdiction of such courts and venue in San Diego County, California in any such action for injunctive relief or equitable relief and authorize and accept service of process sufficient for personal jurisdiction in any action against you as contemplated by this section.
